This End User License Agreement ("EULA") is a legal agreement between you ("User") and Code Crafted Nexus LLC, a Kentucky limited liability company ("Company"), for the use of Wisp. By downloading, installing, or using the app, you agree to these terms. If you do not agree, do not use the app.

1. License Grant

Upon purchase, the Company grants you a limited, non-exclusive, non-transferable, perpetual license to install and use Wisp on one (1) Windows or Mac computer that you own or control at a time, for your own personal or internal business use. This is a one-time purchase — there is no subscription and no expiration on your license. Wisp requires a valid license key to activate. To move your license to a different computer, contact us at the email below.

2. Restrictions

You may not:

  • Copy (other than for backup), modify, rent, resell, or sublicense the app.
  • Reverse engineer, decompile, or disassemble the app, except where applicable law permits.
  • Circumvent or tamper with the license-key mechanism, or share your license key publicly or outside your own organization.
  • Use the app for any unlawful purpose.

3. License Keys

License keys are personal to the purchaser. A license key that is refunded or charged back is revoked, and Wisp will lock at its next license check. We may also decline to honor keys that have been shared or distributed publicly.

4. What Wisp Does — Please Read

Wisp converts locally stored copies of fully synced cloud files into online-only placeholders; can move files into a “Wisp Archive” folder inside your OneDrive; can remove empty folders; and can move local-only files (files with no cloud copy) to an archive folder or the Trash / Recycle Bin when you confirm each file. Changes made inside a cloud-synced folder, such as moving files or removing folders in OneDrive, are synced by your cloud provider to every other computer and device that uses that account. Wisp does not permanently delete your files, and most actions can be undone from the History & Undo screen (removed empty folders cannot be undone, because they contain nothing). Wisp reviews and lists files before it acts, and you choose what to apply.

5. Your Responsibility & Backups

You are responsible for the files on your computer and in your cloud accounts. Keep your own backups. Cloud providers and operating systems control whether a placeholder file can be re-downloaded (for example, internet connection, account standing, and storage plan), and the Company has no control over them.

6. Privacy

Wisp processes file metadata locally and does not transmit your file names, paths, or contents to us. See the Wisp Privacy Policy.

7. Intellectual Property

Wisp and all related software, design, and content are the exclusive property of Code Crafted Nexus LLC. All rights not expressly granted in this EULA are reserved. The Company claims no ownership over your files.

8. One-Time Purchase & Refunds

Wisp is sold as a one-time purchase through our website, processed by Paddle.com as our authorized reseller. There is no recurring billing. You may request a full refund within 14 days of purchase under our Refund Policy. When a refund is issued, the license key for that purchase is revoked.

9. Updates

The Company may release updates to Wisp. Wisp only checks for updates and installs them when you choose; nothing installs without your action. Your license covers reasonable updates released for the same major version.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO THEY MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, ARISING FROM YOUR USE OF WISP. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM.

12. Termination

This EULA terminates automatically upon your breach of any term, at which point you must stop using and uninstall the app.

13. Third-Party Software

Wisp includes open-source components (such as Electron and React) under their own licenses. Contact us if you would like a list.

14. Governing Law

This EULA is governed by the laws of the Commonwealth of Kentucky, United States. Disputes shall be resolved in the courts of Livingston County, Kentucky.

15. Entire Agreement

This EULA is the entire agreement between you and the Company about Wisp and replaces any earlier understandings.
